Firm Purchases Remaining Outstanding Shares from Founder
to Become a 100%
ESOP Company
Resource Systems Group (RSG), headquartered in White River Junction, Vt, became 100% employee-owned when the company's Employee
Stock Ownership Plan (ESOP) purchased the remaining outstanding shares from co‐founder
Thomas Adler. RSG now joins a select group of progressive, forward‐looking companies with 100% ESOP
ownership.
With this final purchase on December 15, 2009, RSG realizes the goal of its strategic vision formulated in
1992; previous purchases of shares from founders Colin High and Thomas Adler were made according
to schedules aligned with long‐term business goals.
Thanks to the hard work of staff and diversified portfolio of clients and services, not only has RSG
weathered this past year’s economic conditions but has grown and remained profitable. Dr. Adler,
president and co‐founder of RSG observed, “Clearly, it is the talent, commitment and cumulative effort of
all who now collectively own RSG that has made, and will continue to make RSG an exemplar among our
peers regionally and nationally. Having an ESOP and the associated employee‐oriented philosophy
serves as at least one part of what makes RSG distinctive and a better place to work.”
RSG Inc. is a supporter of the Vermont Employee Ownership Center (VEOC) and advocates the
benefits of ESOP‐based business models. National groups have long advocated for employee ownership
as ESOP companies are proven to be more successful and more stable than comparable companies with
other ownership structures. Employee‐owners tend to be more committed to their company’s success
and the company itself is typically managed in a way that values and engages employees more directly.
An ESOP provides an investment vehicle whose value each employee‐owner affects individually and
collectively.
There are various implementation levels of corporate policies in the context of employee ownership
amongst ESOP‐structured companies. RSG informs its employee‐owners through fully open financial
statements, provides both direct and indirect forums for employee feedback (upward and downward)
and offers a robust benefits package. These efforts underscore a more general employee ownership
culture approach and the company is open for input on ways to improve this approach.
